Terms of Use
Draft version · last updated 14 September 2026
In short: Qapacity helps you discover, qualify and coordinate access to specialist infrastructure. We do not operate the facilities listed, certify them or guarantee technical suitability. Your requirements stay private by default, and you remain responsible for confirming suitability, eligibility and safety with the provider.
1.Qapacity's role
Qapacity provides infrastructure discovery, intelligence and workflow services. Unless expressly agreed otherwise, Qapacity is not the provider of laboratory, fabrication, testing, engineering or scientific services listed on the platform.
Qapacity helps organisations describe technical requirements, identify facilities that may satisfy them, understand what is known and unknown about their suitability, and coordinate access. Qapacity does not certify, accredit or approve facilities, does not guarantee that a facility can perform a process, and does not provide regulatory, legal or professional engineering approval.
2.Who we are and who you contract with
These Terms are an agreement between you (and, where applicable, the organisation you represent) and [Qapacity contracting entity — to be confirmed] (“Qapacity”, “we”, “us”). Company registration details and a registered address will be added once the contracting entity is confirmed.
Organisations using Qapacity under a separate order form or written agreement are also bound by that agreement, which takes precedence over these Terms if they conflict.
3.Eligibility
Qapacity is a business-to-business service. You must be at least 18 and use Qapacity in the course of your work for an organisation, not as a consumer. You must not use Qapacity if you are prohibited from receiving the service under applicable sanctions or export-control law.
4.Accounts
- You must provide accurate account information and keep it up to date.
- You are responsible for keeping your credentials confidential and for activity under your account.
- Tell us promptly if you suspect unauthorised use of your account.
- Accounts are personal and must not be shared.
6.Acceptable use
You must comply with the Acceptable Use Policy, which forms part of these Terms.
7.Facility information
Facility profiles may contain information supplied directly by providers as well as information obtained from identified public sources. Each item shows its source and verification state. Providers are responsible for information they submit or verify. Qapacity may identify inconsistencies or stale information but does not independently certify a provider’s technical capability unless expressly stated under a separate service.
A facility appearing on Qapacity does not mean that Qapacity has certified, accredited or approved that facility.
8.Technical information and matching
Information provided through Qapacity is intended to support infrastructure discovery and access planning. Facility capabilities, availability and suitability can change and may depend on details not represented on the platform. Users should obtain appropriate confirmation from the relevant provider before relying on a facility for a specific technical requirement.
Match assessments reflect the information available at the time and are an aid to your judgement. A technical match is not a guarantee, and a Qapacity recommendation is not professional engineering approval. Unknown information is shown as unknown and must not be treated as compatibility.
9.AI-assisted features
Some features use artificial intelligence to suggest structure, criteria or summaries. AI suggestions may be incomplete or incorrect, are labelled in the product, and are not treated as confirmed until you accept them. See AI Use.
10.Third-party providers
Facilities are operated by independent third parties. Any services you obtain from a provider are supplied under a contract between you and that provider, on that provider’s terms. Qapacity is not a party to that contract unless expressly agreed, and is not responsible for a provider’s performance, safety arrangements, results or charges.
Providers retain control over site safety, equipment operation, training, sample acceptance, hazard assessment and experimental procedure.
11.Access requests
An access request or technical confirmation request is an enquiry. It does not create a contract, reserve capacity or authorise any physical work. A booking request is not a confirmed booking. A provider’s indication that a request is “technically suitable” reflects the information available for that request and is not a certification.
Qapacity does not determine that access is legally permissible merely because a facility matches technically. Additional eligibility review may be required. Where export controls, security rules or eligibility criteria may apply, you and the provider are responsible for the necessary checks. See the Access Disclaimer.
12.Quotes
Quotations recorded on Qapacity are issued by providers. A quote is not an invoice. Recording that a quote has been accepted in the workflow is not proof of payment and does not by itself form a contract unless the provider’s terms say so.
13.Future transactions
Qapacity does not currently process payments between customers and providers. If transaction, payment or electronic acceptance features are introduced, they will be subject to additional terms presented before use.
14.Confidentiality
Technical requirements may contain commercially sensitive information. We treat non-public information you provide as confidential and use it only to provide the service. Requirements default to Organisation private. Available visibility levels are:
- Organisation private
- Selected provider
- Selected collaborators
- Public
Before information is sent to a provider you are shown exactly what will be shared. Once shared, the provider’s handling of that information is governed by the Provider Terms and any confidentiality agreement between you and the provider.
15.Intellectual property
Ownership of Qapacity’s background IP, customer IP and provider IP is described in the Intellectual Property policy. Qapacity does not claim ownership of your inventions because it helped you locate infrastructure.
16.User content
You retain ownership of the requirements, documents and other content you upload (“User Content”). You grant Qapacity a non-exclusive licence to host, process, copy and display User Content as necessary to provide, secure and support the service, and to share it with the recipients you select.
You confirm you have the rights needed to upload User Content and that doing so does not breach any confidentiality obligation, licence or law.
17.Provider content
Content supplied by providers is governed by the Provider Terms. You may use provider content on Qapacity for evaluating and accessing infrastructure, but not to build a competing dataset.
18.Data licences
Some facility information is derived from third-party sources under licences or permitted-use bases recorded on each source. You must respect any attribution or use restrictions shown. Systematic extraction of facility data from Qapacity is not permitted. See Data Sources.
19.Security
We maintain technical and organisational security measures appropriate to the service, described on the security page. You must not attempt to probe, test or circumvent those measures without our written permission.
20.Service availability
We aim to keep Qapacity available but do not promise uninterrupted or error-free operation. Features may change as the platform develops, particularly during early access. Unless a separate agreement includes a service level, no service level applies.
21.Suspension
We may suspend access, remove content or restrict features where reasonably necessary to protect the service, other users or third parties, to comply with law, or where we reasonably believe these Terms have been breached. Where practical we will tell you why and give you an opportunity to respond.
22.Termination
You may stop using Qapacity at any time. Either party may terminate on notice as set out in any applicable agreement. On termination, your organisation’s User Content will be deleted or anonymised in line with the Privacy Notice, except where records must be retained by law. Audit records may be retained for security and legal purposes. [Data export and deletion timescales to be confirmed.]
23.Warranties
We will provide the service with reasonable skill and care. Except as expressly stated, the service and all facility, match and AI-generated information are provided without warranties of accuracy, completeness, fitness for a particular purpose or availability, to the extent permitted by law.
24.Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.
Subject to that, Qapacity is not liable for indirect or consequential loss, loss of profit, or losses arising from reliance on facility information, match assessments or AI suggestions without appropriate confirmation, or from services supplied by providers. An overall cap on liability is to be agreed [amount to be confirmed on solicitor review].
25.Indemnity
Where appropriate, you agree to indemnify Qapacity against third-party claims arising from User Content you upload in breach of these Terms or from your breach of the Acceptable Use Policy. [Scope to be confirmed on solicitor review.]
26.Governing law
These Terms are governed by the law of England and Wales. [Jurisdiction to be confirmed on solicitor review.]
27.Dispute process
If you have a complaint or dispute, please contact us first through the contact page. We will try to resolve it in good faith. If it cannot be resolved within a reasonable period, either party may refer it to the courts identified above. [Escalation and alternative dispute resolution steps to be confirmed.]
28.Changes to these Terms
We may update these Terms. We will give reasonable notice of material changes, for example by email or in the product, before they take effect. Continued use after that date means you accept the updated Terms.
